  1. Sorry but I studied contracts in law school I’ve read the letter from his lawyers, Skadden Arps, to the SEC. His position is that Twitter’s material misrepresentations void the contract. And he’s got a good argument. Basic first year law school stuff. Twitter is threatening to ask for ‘specific performance’, an equitable remedy only availability if no remedy exists in law, which there is. Non-lawyers are entitled to their opinions but not to ignore or misstate the actual legal principles. You don’t have one of the very top Wall Street law firms writing what amounts to a legal memo to the SEC unless you know what your endgame is.
