@ernestoduhneb.8983 I'd have thought that a plausible argument might be that, as Musk had shown himself prone to back out of deals, and that as a deal isn't done until it's done, keeping a big scary law firm on hand, putting time into keeping an eye on things and having a lawyer with a go-bag ready, was important to deter Musk from backing out.
