  1. There is probably different restrictions on different district. This is usually expressed in floor to area ratio. For a given area there is a limit to how much floor space can be built there. By buying air rights you can have more floor space but the party that sold the rights will have less floor space making the Floor Area Ratio of the district constant.

  2. The reason for the height cap is to prevent stagnant air and dark alley being shaded by tall buildings from the sun. By having a height cap and air rights you prevent the ground level from becoming dark and horrible while still allowing for tall buildings.

  3. In Starwars there is a planet filled with tall buildings and the lower levels are dark and horrible. To prevent that from happening you need to restrict building heights. But a city skyline filled with identical blocks of building is going to be ugly. So this system solves that problem. You have a limit to building height but you also have a system that prevent people from just erecting identical buildings.
