  1. Here’s the thing I didn’t fully understand: The process is normally: 1- non binding offer 2- due diligence 3- binding offer 4- final contract. Dude literally skipped all steps and wrote a very friendly “seller” contract with a forced fast timeline. Final contract language usually gets hammered after months of lawyer review. (Oh yeah, the former Chief Justice for DE works for law firm that Twitter hired.)
