@sai1boats A passive stock just means it's a longterm investment. It's mostly done by Mutual Funds. While those groups generally don't vote, they will sometimes put out a meeting of shareholders within the fund and then proxy vote based on what the shareholders support. It has been being used more recently by individuals as away to initiate a hostile takeover. I don't know why people think passive means they don't have voting shares. It's just that passive stockholders usually are a buy and forget. They are called that because they usually don't because they are Mutual Funds, it doesn't mean they can't. Though some groups have been lobbying for a rule change not allowing them to vote, it hasn't been done yet that I've found. Edit: Twitter executives are concerned Elon is positioning for a takeover.

Tim doesn't understand what passive shareholder means. It doesn't mean he has no say. It means he's not going to sell. That it's a longterm investment. I don't know how many board seats this gives him, but I do know it's enough that he'll only need 1 or 2 other board members to side with him to take control if he even needs that. Dorsey only had 4% of the stock and was in control so we'll have to see how this plays out, He most definitely now has enough control to effect policies.
