  1. Vanguard is an INDEX fund. Of course they're going to be a player. The question is open: will a famous PASSIVE investment firm engage in a proxy fight ? By its own by-laws, is Vanguard even entitled to jump into the fray ? What most investors would expect: that Vanguard doesn't vote at all. Obviously, to vote for the current mismanagement (of Twitter) would open Vanguard to lawsuits by its own investors. As the ultimate passive investor, Vanguard should ALWAYS favor bidding wars -- especially over stocks that are dogs.
