  2. I would add: shareholders that invested their own money, not because they got free shares from the company they are supposed to watch over. Too many examples of the latter kind that get a stock grant and proceed to sell it all right away. Such kind of BoD member should be kicked out next round. I like the way Larry Ellison acted when he joined the Tesla board in 2018: Put $1B of his own money into Tesla before he joined the board. THAT is a true independent board member.
