Exactly, a better way to look at this is: Lets say you have a company with $1500 in the bank. You hire your mate to represent the company, he agrees to work for an hourly fee. A week before the deal is finalized your friend invoices you for $150 for hours worked. Then 10 minutes before you hand the keys over to the new owner, you decide to pay your friend $900 as a bonus, thus leaving only $450 in the bank account instead of $1350 This has no impact on shareholders, as the buyer was unaware of the $900 bonus - it was not part of the original agreement when you hired your friend. It does however impact the buyer as when you handed over the keys the bank account is part of that. It would be like selling someone a car, they take it for a test drive and right before you hand over the keys you remove the tyres, stereo and seats. My bet is the law firm will settle (ie it'll go in Musk's favour) but had the success fee been part of the original agreement. It would set a bad precedent for future acquisitions if a judge ruled in the law firm's favour - it'd open the door for every other law firm to do the same going forward. They got greedy just like the execs.

@MegaBanne well it's clear you haven't watched legal eagles video yet by what you wrote in the 1st paragraph, then in the 2nd it's clear you have a secret crush on Musk, calling him names and your desires for punishing him... it would be very rude of me to not allow you to finish. My ears apologize for ignoring you earlier, they await your sentencing and punishment in furry dungeon #4

@MegaBanne unless of course you wish to actually respond to something i've written.. otherwise i thought spewing random stuff was the game you wanted to play? Am just trying to be nice, you seem to have some unresolved issues and playing might cheer you up! 🥰

Me! I think Musk is a genius. He's not perfect, nobody is, nor do i think he can do no wrong - i think the X branding for example is very premature - but his goals are not centered around money. This shouldn't be misconstrued that money isn't important to him, it is, but it's a means to an end in order to do the things he wants to do. He didn't buy Twitter for the sole purpose of making profit. Or because he simply likes to post memes. Just like SpaceX wasn't started for the sole purpose of making profit, but rather get the human race to mars. That goal hinges on making space travel more economical. NASA, Blue Origin and Virgin all thought they could do better... but have they? Believe it or not there are people in the world who have ambitions beyond being wealthy or famous. Most people would struggle running just a single successful company.. Musk is doing several simultaneously and still has time to sh1tpost and play Diablo. You don't have to be a genius to recognize a genius, but you have to be pretty dumb to think Musk could've gotten to where he is now by not being one. Riddle me this, which living person do you view as being a genius? Don't be shy now, you're not a coward right?

lolwot? The full name is "Board of Directors" The chair is the head of the board, non-executive directors are above executive directors, which in turn are above the C-suite. If a company has an executive director, say a managing director, they attend board meetings and then instructs the CEO. A non-executive director is typically hands off for the internal day-to-day tasks but ultimately has final say. When Musk says jump its Yaccarino's job to ask how high. Whether she launches in the air using the left foot, right foot or both feet is up to her though. The corporate world is not what you think 😂

@alimfuzzy lol you pasted a blurb from wiki about lowest form of a director within a company? What type of director do you think Musk is in reference to Twitter? I've not only worked for several large publicly traded companies but also a shareholder of one of them. You ever been to an AGM? Do you even know what that is without having to look it up? Since you like copy pasting from wikipedia here is one for you, ill even give you the URL (https://en.m.wikipedia.org/wiki/Board_of_directors) because unlike you i actually don't need to obscure or skew the truth to save face: Typical duties of boards of directors include:[5][6] Governing the organization by establishing broad policies and setting out strategic objectives Selecting, appointing, supporting and reviewing the performance of the chief executive (of which the titles vary from organization to organization; the chief executive may be titled chief executive officer, president or executive director) Terminating the chief executive Ensuring the availability of adequate financial resources Approving annual budgets Accounting to the stakeholders for the organization's performance Setting the salaries, compensation and benefits of senior management

@alimfuzzy oh and here is a cut/paste from the wikipedia page ( https://en.m.wikipedia.org/wiki/Director_(business) ) you used.. funny how you very carefully selected the part you did whilst ignoring the rest of the page eh?? It's clear to me you've only ever worked for a small business and not a large publicly traded company. Would love to see you explain to how a non executive director of a company isn't involved in the board. It'd be like saying the coach of a football team has very little to do with what players are on the field and their position 😂 -- Larger businesses and organizations will form a clear board structure as the following: Chairman - This particular role within the company is often a non executive role that also has the task of overseeing the entire business or organization. Managing Director (MD)[4] - A managing director is employed by the business, often by the chairman. Other roles include running the business and producing salaries. The managing director works along with the board of directors and oversees the performance of the business, thus reporting back to the chairman. Executive Directors - A group of executive directors who each play a significant role within the company. They maintain full responsibility over their respective departments such as Finance, Marketing and Sales. Each director manages their department ensuring that tasks and objectives are being met. Executive directors also sit on the board. Non-executive directors - These advise the business by proposing different forms of strategy and also decide remuneration of the executive directors. Having a clear structure within the business has a positive impact on the employees and it also helps to organize the business. By having a team of executive directors, employees can report to their executive directors if a problem or an issue occurs.[5]

@alimfuzzy executive, non executive, managing are all part of the board. That's literally why they have the title of Director rather than Chief. Saying a director doesn't have the info the board does makes no sense, they ARE the board. It's the C-suite who wouldn't, ie CFO CTO COO etc.
1
@alimfuzzy also an "associate director" is not an actual director, just like a deputy sheriff is not an actual sheriff.. a vice president is not an actual president etc. Hence why pasting the section of the wikipedia page referring to the context of an associate director was not the win you thought it was 😉

@alimfuzzy thanks for the kind remarks and have a wonderful day! 🥰

@alimfuzzy youtube seems to he filtering the link but Martha Lane Fox, the o m f g lady you referenced joined Twitters board in 2016

@alimfuzzy in a publicly listed company they are, you only don't care upon the revelation she was on the board. I wish you the best of luck in your future business endeavours 😘

@alimfuzzy are you South African? Do you honestly believe that South African laws, of all the countries in the world to pick, would be even close to the applicable laws for a publicly listed company in the US such as Twitter? Have you figured out what an AGM is yet?! It's pertinent to the topic at hand not some random question. Do you know what the requirements are for adding and removing directors of a company that is publicly listed on one of the US stock exchanges are? You really are adorable in the amount of effort you're going to, South Africa of all the places... Utterly hilarious! I love it! I can't stop laughing at that 😂 Thanks buddy, i'm genuinely sitting here with a massive smile on my face 🥰🤗

@MegaBanne uh huh and remind me again why are you replying to me specifically with all that unrelated information in this thread, repeatedly and still haven't watched legal eagles video? Do you need a hand performing a search for "legal eagle twitter" in youtube, or maybe you would like a link pasted? Or do you have some more venting about that guy living rent free in your head? My ears are here for you, but i gotta be honest, my heart just isn't.. i think it's allergic to hatred or something but i dunno i'm not a doctor 🙃

@MegaBanne and in summary, you believe Musk made the Twitter board pay the law firm 90 million dollars 10 minutes before the deal was settle because Checks notes You think he's an idiot and deserves it? That's your hot take, specifically in response to my original message, have i missed any key points? You're happy with this, can i lock it in as your final answer or would you like to perhaps watch legal eagles video first? I know you're a busy person running around serving hot takes to strangers so i don't want to take up any more of your valuable time.. you've provided a wealth of information and a very reasonable in-depth response, don't be afraid to take a break. Put ya feet up for a few minutes, you must be exhausted...
1
@MegaBanne right, so you'll be able to answer what word all the lawyers would be shouting at the screen in reference to consideration then? I'll even help narrow it down, since again i know you must be very busy running about dishing out hot takes, it's after the 11 minute mark and starts with the letter P 🍾 We can even play hangman as a bit of fun too, yknow lightening the mood, have a laugh. So right now its: P_______ What is your first guess? 🤔

@rickydinto if the original contract with the law firm, which the bulk of it's business is based on handling these exact type of deals, had the success fee written into it i would agree... however it did not. There is the letter of the law and the spirit of the law, altering the contract to include the success fee on the day it became clear it would be finalized and making payment in the last hour before handing over the keys won't pass the sniff test to the judge imo. LegalEagle hates Musk so when even he has to couch his words and bring in another lawyer to give the biased opinion he wants to for his narrative but knows would come back to bite him that suggests to me he's not as confident as portrayed. What the law firm did was hella dodge and anyone denying this is either biased and/or disingenuous. The main reason i think it won't go in the law firms favour is the precedent it would set - it essentially would mean any future firms could legally do the same thing and judges are very mindful of not just the outcome of the case in front of them, but the impact the ruling will have in future. I'd wager money it'll be settled out of court, but we shall see. You obviously have a different opinion and that's fine, i'm not going to argue with you. Only time will tell, if we ever hear about it again...
1
@floreroafloreril1458 trying to cancel the deal is justification for the original owner to remove the cars tyres, stereo and seats? Mmmmkay...
1
@floreroafloreril1458 what clients would the seller have potentially lost money from?! The seller hiring lawyers is on them, the seller didn't win at trial but even if they did and were awarded legal costs, the seller doesn't get to arbitrarily decide on the amount and how the lawyers get paid, that would be on the court and buyer respectively. This hypothetical makes no sense, you don't seem to have a firm grasp on the situation or the analogy
