  1. A company director exam would just be a money making scheme for people administering the exam. Many companies are small businesses and such things would be onerous to the small business community. This to me sounds anti-small company. Penalising small limited companies would just push people to setup companies offshore.

  2. It would be impossible to check the filings of every company as it would require immense manpower, due to the complex structures of businesses. So it's impractical to expect all accounts to be checked. Instead we operate on the basis of doing random spot checks (audits). The threats of hefty penalties that can be applied is what goes a long way to ensuring most companies do file proper accounts. There's an entire industry of accountants and audit firms that exist to perform audits and checks.
